Part 1

The agreement & what BillVyse is

1Acceptance & eligibility

By installing, registering for, accessing, subscribing to or using BillVyse, or by selecting I Agree, you confirm that you have read and accepted these terms, the Privacy Policy and the Refund & Cancellation Policy.

You must be 18 years or older and legally capable of entering into an agreement. If you are registering a business, you confirm that you are authorised to act for that business. You are responsible for everything done under your account, including by staff you add.

2Nature of the services

BillVyse provides technology and software tools. Depending on your plan these may include billing and invoice generation, inventory and stock records, customer records, khata, expenses, purchases, reports, a digital storefront, QR-code display and payment initiation, notifications, analytics and data export. Features may vary by plan and may be added, modified, suspended or discontinued from time to time.

The important part

BillVyse is a technology platform. Merely by providing the services it is not the seller, supplier, manufacturer, distributor, accountant, tax adviser, lawyer, financial adviser or agent of any merchant. It is a record-keeping and document-printing tool — not an accountant, not a tax adviser and not a filing agent. It does not file any return with the GST Network or any other department.

3Merchant responsibility

The merchant remains solely responsible for its business and for all goods and services supplied to customers. That includes pricing, product quality, quantity, authenticity, delivery, warranty, returns, replacements, refunds, customer complaints, statutory disclosures, taxes, licences and regulatory compliance.

You must ensure that all information you submit to BillVyse is accurate, lawful and current — including GSTIN, FSSAI licence, drug licence, trade licence and any other registration that applies to you. BillVyse does not determine whether your business requires any particular registration or licence.

4Billing, GST & tax

BillVyse may generate invoices, receipts, GST-related documents, reports and other business records from information you enter. Those outputs are working tools, not professional tax, accounting or legal advice. You must verify tax rates, HSN/SAC classification, GST treatment, invoice details, returns and credit/debit notes before relying on them.

Any tax, interest, penalty, filing obligation or regulatory consequence arising from your business, your information or your decisions remains your responsibility, except to the extent liability cannot lawfully be excluded.

What you are responsible for

Whether you must be registered, what rate applies to what you sell, which HSN or SAC code is right, whether you are eligible for the composition scheme, what you file and when, and what you pay — all of that is between you, your CA and the department. It depends on facts about your business that this app has no way of knowing.

The number you enter is your declaration

We cannot check a GSTIN, an FSSAI licence or a drug licence against a government record. When you enter one, you are declaring that it is validly issued to your business and currently in force. We record that declaration with the date, the account that made it and the address it came from, and we keep an audit trail of every later change. Every document printed under that number is issued by you, not by us.

What the app produces

Tax invoices, bills of supply, credit notes, and the GSTR-1, GSTR-3B, CMP-08 and purchase register workings are built from what you entered. They are working papers. They are not filed with anyone, they are not checked by anyone, and they are not advice. Check them — and have your CA check them — before you rely on them.

5QR codes & payments

BillVyse may provide QR-code or payment-related functionality through your own payment account or through third-party banks and payment service providers. Unless expressly stated otherwise, BillVyse does not receive, hold, pool or settle merchant funds. Payment processing, authentication, settlement, reversals, chargebacks and banking/UPI availability may be controlled by the relevant payment provider.

Before you hand over the goods

Verify independently that the money has actually reached your account. A screenshot, an SMS or any payment evidence shown to you by a customer is not by itself proof of successful settlement.

6Customer–merchant transactions

Transactions for goods or services are between the merchant and the customer. BillVyse is not a party to those transactions unless expressly stated. Disputes about product, delivery, quality, price, warranty, replacement or refund should be addressed with the merchant. BillVyse may provide technical assistance where appropriate, but does not assume the merchant's commercial obligations.

Part 2

Your obligations, data & subscription

7Acceptable use

This is the clause that matters most to both of us. BillVyse prints documents that other people rely on — a tax invoice a buyer claims credit against, a receipt a customer keeps, a khata balance somebody is asked to pay. Using it to record something that did not happen is not a misuse of a feature; it is a document put into the world under a false account of the facts.

You must use BillVyse only for lawful purposes, and must not:

  • Create fake, fraudulent, misleading or unauthorised invoices, receipts or records — including an invoice for a sale that did not take place, or for goods or services that were not supplied, or raised only so that somebody can claim input tax credit.
  • Use another person's GSTIN, licence, account, identity or business credentials without authority, or continue using a registration after it has been cancelled, surrendered or has expired.
  • Alter, back-date or delete records to conceal fraud, tax evasion, unlawful activity or regulatory violations, or to defeat an audit, an inspection or a legal obligation to keep records.
  • Sell, advertise or facilitate prohibited, counterfeit, stolen or otherwise unlawful goods or services — including goods you are not licensed to sell. Prescription medicines without a valid drug licence, and without the prescription record the law requires, is the case this app most often meets.
  • Upload malware, attempt unauthorised access, scrape, reverse engineer or interfere with BillVyse, or attempt to reach another shop's records.
  • Bypass subscription limits, security controls or technical restrictions, or abuse trials and promotional offers, or share one account between separate businesses, or resell access.
  • Misuse customer information, send unlawful or unsolicited communications, or impersonate another person or business. Customer phone numbers collected through the app are for that shop's own business with those customers, and nothing else.

An account we reasonably believe is doing any of the above may be suspended immediately and without refund. Where we are formally required to, we will hand records over to an authority, and we keep an audit trail of who set or changed a registration number and when — see clause 4.

8Account security

You are responsible for keeping your login credentials confidential, for using an appropriate password, and for promptly reporting any suspected unauthorised access. BillVyse uses authentication controls, session security, logging and other reasonable technical measures. You are responsible for activity conducted through your account to the extent permitted by law.

9Merchant data & privacy

As between BillVyse and the merchant, merchant data is the merchant's data — products, invoices, customers, stock and business records — subject to the rights required for BillVyse to provide the services. You authorise us to host, store, process, back up and transmit that data as reasonably necessary to operate, secure and maintain the services. We do not sell your business data or your customers' data, and we do not use it to train models.

Where you enter a customer's personal information into BillVyse, you are responsible for having the lawful basis, notices and permissions that applicable law requires. Under the Digital Personal Data Protection Act, 2023 you are the Data Fiduciary for that customer list and BillVyse is your Data Processor: we hold and process it on your instructions, for the purposes of providing this service, and for nothing else. We do not decide what goes into your khata and we do not use it for our own purposes. If a customer asks us to correct or remove their record, we will tell them to ask you — it is your record to change. We process personal data in accordance with our Privacy Policy and applicable law, and who answers for which data is set out there.

If personal data held for you is exposed, we will tell you without waiting to finish investigating, with what we know about what happened and what data was involved, so that you can meet your own obligation to inform the people affected and the Data Protection Board of India. Telling your customers is yours to do: they are your customers, and only you know which of them to call.

We use third-party infrastructure and service providers for hosting, authentication, messaging, analytics, payment-related services and similar functions. Data may be disclosed where required by applicable law, court order or lawful authority, or where reasonably necessary for security, fraud prevention and the protection of rights.

10Data accuracy, backup & export

BillVyse does not guarantee that information entered by users is accurate, complete or error-free. Please export your important business records periodically. We do maintain backups, but no backup system guarantees the preservation of every record in every circumstance.

You can export your data at any time from Backup & restore inside the app. Keeping the records the law requires you to keep, for as long as it requires, is your obligation — an export you never took is not a record we are holding for you. Closing your account does not require us to immediately destroy records that must be retained for legal, tax, accounting, security, fraud-prevention or dispute-resolution purposes; see what is deleted and what is kept.

11Subscription plans & fees

BillVyse may offer monthly, annual, free and promotional plans. Features, limits and prices differ by plan, and paid subscriptions are billed for the period you select. Taxes may apply. We may change pricing or plan features by giving reasonable notice where applicable law requires it.

We may suspend paid functionality for non-payment, material breach, suspected fraud, security risk or other lawful reasons. Cancellation and subscription refunds are governed by the Refund & Cancellation Policy below.

How this works in BillVyse

The free plan is a real plan, not a trial that stops working: you can bill, keep stock, run khata, print receipts and share a catalogue on it, within the monthly limits shown on the plans page.

Issuing GST documents is a paid feature. On the free plan your bills print as clean sale bills — the same items, the same totals, the same money — but they are not tax invoices and they carry no GSTIN or tax breakup. Entering a GSTIN, printing a TAX INVOICE with a CGST/SGST or IGST breakup, issuing a compliant credit note and producing the GST return workings need a paid plan.

A document that has already been issued never changes shape. If your plan lapses, bills you printed while it was active reprint exactly as the copy your customer is holding. A price change never applies to a period you have already paid for.

12Availability & third-party services

BillVyse is provided on an as available basis. Interruptions may occur because of maintenance, internet or telecom failures, cloud infrastructure problems, cyber incidents, payment or UPI outages, third-party API failures, power failures, government action or other events outside reasonable control.

Billing works offline and syncs when the connection returns, so a network outage should not stop you from selling. Third-party services are governed by their own terms and policies, and we do not guarantee their availability, accuracy, security or performance, except as required by applicable law.

13Intellectual property

BillVyse and its software, source code, interface, designs, trademarks, logos, documentation, workflows, algorithms and proprietary technology are owned by or licensed to BillVyse. Subject to these terms and to payment of applicable fees, you receive a limited, non-exclusive, non-transferable right to use the services for your permitted business purposes. No ownership rights are transferred to you.

Part 3

Liability, termination & legal terms

14Suspension & termination

We may suspend or terminate an account where a user breaches these terms, uses the platform unlawfully, provides materially false information, fails to pay applicable fees, compromises platform security, engages in suspected fraud, or where suspension or termination is required by law or by a lawful authority. Immediate suspension may be used where reasonably necessary to prevent material security, fraud or legal risk.

Where the reason is not one that requires immediate action, we will tell you first and give you a chance to put it right. Your data stays exportable for at least 30 days after a suspension that was not ordered by an authority.

Termination does not remove obligations that by their nature survive it, including payment obligations, intellectual-property rights, data-retention obligations, indemnity, disclaimers, limitation of liability and dispute resolution.

15Disclaimers

To the maximum extent permitted by applicable law, BillVyse does not warrant that the services will always be uninterrupted, error-free, secure or suitable for every business requirement. We do not guarantee sales, revenue, profit, customer growth, tax savings, inventory accuracy or any particular business outcome.

Documents, reports, calculations, recommendations and AI-assisted outputs generated by BillVyse may contain errors and should be reviewed by you before being relied upon for tax, accounting, legal, financial, compliance or business decisions.

16Limitation of liability

To the maximum extent permitted by applicable law, BillVyse shall not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business opportunity, goodwill, anticipated savings or data arising from use of the services. That includes any tax, duty, penalty, interest, fee, prosecution or notice arising from documents you issued, figures you entered, returns you filed, or registrations and licences you claimed.

Subject to applicable law, BillVyse's aggregate contractual liability arising from or relating to the services shall not exceed the subscription fees actually paid by the affected merchant to BillVyse during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these terms excludes or limits liability to the extent that such exclusion or limitation is prohibited by applicable law.

17Merchant indemnification

To the maximum extent permitted by law, the merchant agrees to defend, indemnify and hold harmless BillVyse, its owners, directors, officers, employees, contractors and service providers from claims, losses, penalties, damages, liabilities and reasonable legal expenses arising from or relating to:

  • the merchant's business;
  • goods or services supplied by the merchant;
  • customer disputes;
  • breach of law or of these terms;
  • inaccurate registrations or information;
  • fraudulent or unlawful activity;
  • infringement of third-party rights;
  • misuse of customer data by the merchant.

18Force majeure

BillVyse shall not be responsible for delay or failure caused by events beyond reasonable control, including natural disasters, fire, flood, war, terrorism, civil disturbance, epidemic or pandemic, government action, internet or telecom failure, banking or UPI disruption, cloud infrastructure failure, cyberattack or power failure, subject to applicable law.

19Electronic records & consent

Electronic records maintained by BillVyse — account activity, consent records, timestamps, subscription records, security logs and communications — may be used to establish account activity and acceptance of these terms, subject to applicable law.

We record which dated version of this page your account accepted, when, and from which address. You agree that continued use after a notified material update constitutes acceptance where legally permitted, and we may require renewed acceptance for material changes.

20Governing law & disputes

These terms are governed by the laws of India. Subject to applicable law, the courts at Pune, Maharashtra shall have jurisdiction over disputes arising between BillVyse and a merchant. Any arbitration mechanism, where used, shall be subject to applicable law and to the separate agreement or clause applicable to the relevant dispute.

21General

If any provision is held invalid or unenforceable, the remaining provisions remain effective to the extent permitted by law. Failure to enforce a provision is not a waiver.

These terms, together with the Privacy Policy, the Refund & Cancellation Policy and the Acceptable Use Policy, constitute the agreement concerning the services. Nothing in them creates a partnership, employment, franchise, agency or joint venture between BillVyse and a user.

Part 4

Policies, acceptance & contact

Privacy Policy

What we collect

  • Shop owners: name, email, phone, shop name and address, and — if you enter them — GSTIN, FSSAI, drug licence and bank details used on your invoices.
  • Shop customers: name and phone number, entered by the shop to run its khata. A phone number is used to send a one-time login code.
  • Business records: products, bills, orders, payments and expenses you enter.
  • Photos you upload: pictures of supplier bills and product images, taken with your camera or picked from your gallery. The camera is used only when you open the scanner or the photo picker yourself, and nothing is captured in the background.
  • Your shop's location, only if you press “capture shop location” in Settings, and only to work out which addresses are inside your delivery radius. It is the shop's location, not yours, and it is never tracked or read while the app is closed.
  • Compliance trail: when a registration or licence number on a shop profile was set or changed, by which account, and from which address.
  • Consent record: which version of these terms your account accepted, when, and from which address.
  • Technical: basic log data needed to keep the service secure and working.

How we use it

Only to provide the service: showing your data back to you, sending OTPs and reminders you trigger, processing subscription payments, diagnosing faults, and meeting a legal obligation where one applies to us. We do not use your data to train models, and we do not sell it. We do not use it for advertising, and we do not share it with advertisers or data brokers.

Who else sees it

Only service providers we need to operate: our hosting and database provider, the SMS provider that delivers OTPs, the email provider that delivers verification and password-reset mail, and Razorpay for subscription payments. Card details are handled entirely by Razorpay and never reach our servers. We also disclose data where we are formally required to by law, by a court or by an authority.

Deleting your account

You can delete your account and its data yourself, from inside the app: Settings → Account & security → Delete my dukaan. You will be asked for your password (or to confirm with Google) and to type your shop's name.

Nothing is destroyed on the spot. Your account is marked, and everything keeps working for seven days — a warning appears on every screen with a button to call it off, and we email you as well, so an account marked by somebody who is not you can be rescued. After that date the deletion runs and cannot be undone. Take a backup first; afterwards there is nothing left to export.

If you cannot sign in — a lost phone, a forgotten email, an app already uninstalled — ask us on the account deletion page, which needs no login.

What is deleted, and what is kept

Deleted: your login and every staff login under it, your products, stock, batches and price history, every bill, quotation, purchase and return, the khata and every customer and supplier record in it, expenses, orders, appointments, memberships, uploaded bill photos, and your public storefront.

Kept: the record of subscription payments you made to us, which we are required to keep as our own business and tax record — once your account is gone it carries no name, phone or email. Our administrative log of actions taken on the account is kept with every readable field (names, labels, IP addresses) removed. A wholesaler's own supplier-portal login survives: it is their account, not your shop's data, and other shops depend on it — but the record of their dealings with you, the note of whether they accepted or blocked your shop, is removed from it.

How long we keep everything else

For as long as your account is active. If you ask us to delete by email instead of using the button, we confirm who you are and then delete within 30 days. Tax records, the compliance trail and the consent record may need to be retained longer where the law requires.

Who is responsible for what

India's Digital Personal Data Protection Act, 2023 puts the duty on whoever decides why data is held. That is two different parties here, so it is worth being exact:

  • Your own account — your name, email, number and shop details. BillVyse decides why these are held, so BillVyse is the Data Fiduciary and answers for them. Ask us.
  • Your customers' names and numbers — the khata. The shop collected them and the shop decides what happens to them, so the shop is the Data Fiduciary and BillVyse is its Data Processor: we hold and process that list on the shop's instructions and for nothing else. A customer who wants their record corrected or removed asks the shop, not us.
  • A wholesaler's supplier-portal login — their own account, created when they asked for a code on their own phone. No shop owns it, and BillVyse answers for it directly.

Your rights

You can access, correct or export your data from inside the app at any time, and you can delete it as described above. A shop's customers should contact that shop, which controls their khata record — the shop is the one who collected it and the one who can correct it.

For the data we are responsible for, you may also:

  • Ask what we hold and who we have shared it with.
  • Have it corrected or completed if it is wrong.
  • Have it erased, unless a law requires us to keep it — see what is kept, above.
  • Withdraw consent, as easily as you gave it. Withdrawing it for an account means closing that account, because there is no version of this service that runs without the records in it.
  • Nominate someone to exercise these rights for you if you die or cannot act for yourself. Write to the grievance contact below with their name and number and we will record it against your account.
  • Complain — to us first, and then to the Data Protection Board of India if we have not put it right.

Grievance contact

Write to [email protected], marked for the Grievance Officer. Tell us the number or email the account uses, so we can find it. We answer within 30 days, and normally in a few working days. If you are a customer of a shop and your request is about that shop's khata, say so and we will tell you how to reach the shop — we cannot change its records for it.

If something goes wrong

If personal data we hold is exposed or reached by someone who should not have reached it, we will tell the people affected and the Data Protection Board of India, without waiting to finish the investigation first. What we will say: what happened, what data was involved, what we have done about it, and what — if anything — you should do. Where the data belongs to a shop's khata, we tell the shop, because its customers are the shop's to inform and only the shop knows who they are.

The language this is in

The app, and the notice shown when you sign up, are offered in English, Hindi, Marathi, Bengali, Tamil, Telugu, Kannada, Malayalam, Gujarati, Punjabi, Odia and Urdu. This policy is written in English; if you would like it explained in any of those languages, write to the grievance contact above and ask.

Children

BillVyse is business software and is not directed at children. Accounts are for people aged 18 or over who are authorised to act for a business, and we do not knowingly collect data from children.

Security

Passwords are hashed, sessions use signed http-only cookies with CSRF protection, payment signatures are verified, and sensitive endpoints are rate limited. No system is perfectly secure, so please use a strong, unique password.

Refund & Cancellation Policy

Paid plans are billed for the period you chose. You can cancel at any time; your plan keeps working until the end of the period already paid for, and is not renewed after that.

  • A plan bought by mistake and reported within 7 days is refunded in full, provided the plan's paid features were not substantially used.
  • If a payment is deducted but the plan is not activated, we refund it in full — write to us with the payment reference.
  • Refunds are returned to the original payment method and typically reach your account within 5–7 working days.
  • Part-used periods are not otherwise refunded, since the software was available throughout.
  • An account closed for breaching clause 7 is not refunded.

Cancelling a plan never deletes anything — export from Backup & restore whenever you want, and your books stay available if you come back. Closing the account is a different thing and does delete everything: see deleting your account.

22User acknowledgement

These are the declarations you make when you tick the box on the sign-up screen. We record which version you accepted — see clause 19.

  • AgreementI have read and agree to the BillVyse Terms of Service, Privacy Policy, Refund & Cancellation Policy and Acceptable Use Policy.
  • Merchant declarationI confirm that I am authorised to operate the business and that the information and registrations submitted by me are accurate and lawful. I accept responsibility for my business, my products and services, taxes, licences, customer dealings and applicable regulatory obligations.
  • Customer declarationI understand that goods and services are supplied by the merchant, and that BillVyse is a technology platform — except where BillVyse expressly states otherwise or applicable law provides otherwise.
